1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “Subscriber”) and Quwa Group Inc., a Canadian corporation (“we,” “our,” or “us”), operating as Quwa Pakistan Defence Journal at quwa.org (the “Website”).

By accessing or using our Website, registering for an account, or subscribing to any of our services, you agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree to these Terms, you must not access or use our Website or services.

2. Description of Services

Quwa Pakistan Defence Journal is an online publication providing defence analysis, commentary, and journalism. We offer the following tiers of access:

3. Account Registration

To access subscriber content, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that we reasonably believe contain inaccurate information or have been compromised.

4. Subscriptions and Payments

4.1 Billing

Paid subscriptions are billed annually in advance. All payments are processed securely through Stripe. By subscribing, you authorize us to charge the applicable subscription fee to your designated payment method on a recurring annual basis until you cancel.

4.2 Prices and Currency

Subscription prices are quoted in US Dollars (USD) unless otherwise specified. We reserve the right to change subscription prices with at least 30 days’ written notice to current subscribers. Price changes will take effect at the start of your next billing cycle following the notice period.

4.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Upon cancellation:

• You will retain access to your subscription tier until the end of your current billing period
• No partial refunds will be issued for the remaining portion of the current billing period
• Your account will revert to Free Access at the end of the billing period

4.4 Refunds

We offer a full refund within 14 days of your initial subscription purchase or annual renewal, provided you have not accessed a material amount of subscriber-only content. Refund requests should be directed to [email protected]. Refunds will be processed to the original payment method within 5–10 business days.

4.5 Failed Payments

If a payment fails, we will attempt to process the charge again in accordance with Stripe’s retry schedule. If payment cannot be collected after repeated attempts, your subscription may be suspended or cancelled, with notice sent to your registered email address.

5. Intellectual Property

5.1 Our Content

All content published on the Website, including but not limited to articles, analyses, reports, images, graphics, logos, podcast recordings, and the overall design and layout of the Website, is the exclusive intellectual property of Quwa Group Inc. or its licensors. This content is protected by Canadian and international copyright, trademark, and intellectual property laws.

5.2 Limited Licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website and its content for your personal, non-commercial use. This licence does not include the right to:

• Reproduce, distribute, or publicly display our content beyond short excerpts for commentary or criticism (consistent with fair dealing under Canadian copyright law)
• Modify, create derivative works from, or reverse-engineer any part of our Website or content
• Use automated tools (bots, scrapers, crawlers) to extract content from our Website
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Share your subscriber login credentials with any third party or use a single account for multiple users

5.3 Republication and Syndication

Republication, syndication, or redistribution of our premium content in any form requires prior written authorization from us. Limited quoting for the purpose of fair dealing (criticism, review, news reporting, or education) is permitted with appropriate attribution to Quwa Pakistan Defence Journal and a link to the original article.

6. Acceptable Use

You agree not to use our Website or services to:

• Violate any applicable local, provincial, national, or international law or regulation
• Infringe upon the intellectual property rights of Quwa Group Inc. or any third party
• Transmit any malicious code, spam, or unsolicited advertising

If you submit comments, feedback, or other content through our Website (“User Content”), you grant us a non-exclusive, royalty-free, perpetual, worldwide licence to use, display, reproduce, and distribute your User Content in connection with our services. You represent that you own or have the necessary rights to submit such content and that it does not infringe any third-party rights.

We reserve the right to moderate, edit, or remove User Content that violates these Terms or that we deem inappropriate, offensive, or potentially defamatory, at our sole discretion.

8. Disclaimers

8.1 Editorial Disclaimer

The content published on Quwa Pakistan Defence Journal represents analysis, commentary, and journalism. In any event, our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Website shall not exceed the total amount you have paid to us in subscription fees during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Quwa Group Inc., its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Website or services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any User Content you submit.

11. Termination

We may suspend or terminate your access to the Website and services, in whole or in part, at any time and for any reason, including but not limited to violation of these Terms. Upon termination:

• Your right to access subscriber content ceases immediately (or at the end of the current billing period, at our discretion)
• Provisions that by their nature should survive termination will remain in effect, including Sections 5, 8, 9, 10, 12, and 13
• We may, at our discretion, offer a pro-rated refund if the termination is initiated by us without cause

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.

Before commencing any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at [email protected]. We will endeavour to resolve disputes through good-faith negotiation within 30 days.

13. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Quwa Group Inc. regarding your use of the Website and services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
• Assignment: You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
• Force Majeure: We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, cyberattacks, or Internet service disruptions.

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on our Website with a revised effective date and, for active subscribers, by email notification at least 15 days before the changes take effect. Your continued use of the Website after the effective date of any changes constitutes your acceptance of the revised Terms.
